By using this website, you agree to the terms and conditions set out here. If you do not agree with any part of these terms and conditions you must not use this website. If you submit information via the contact form, email, or any other method of communication including third party websites (Such as Facebook, WhatsApp and LinkedIn), send video editing materials or aids (Such as footage, audio, images, bodies of text, or reference materials), or purchase any of my services, you must agree to these terms and conditions.

(1) Use of the website and associates pages

Occasionally this website or some features of the website may be unavailable as a result of technical issues, or development updates.

By agreeing to these terms and conditions you understand that I do not commit to ensuring that the website will be available at any particular time, or that this website will continue to be published in the future.

You must not use this website, my affiliated social media pages, or any of the services I provide in any way that causes, or may cause, damage or impairment to the website; or in any way which is illegal, unlawful, fraudulent or harmful, or in connection with any illegal, unlawful, fraudulent or harmful purpose or activity. You must not use this website to copy, store, host, transmit, send, use, publish or distribute malicious computer software of any kind.
 

(2) Copyright

Unless otherwise stated, I and my affiliated clients own all the intellectual property rights for the materials used on the website. All rights are reserved.

  • Videos and materials shared on this website or any of my social media pages are not for public distribution by anyone other than myself or the affiliated clients involved in making each video.

  • You may view, download or print any of the pages on this website for personal use only.

  • You may not republish, redistribute, reproduce, edit or modify, sell, rent or sublicense any of the materials on this website.

  • When you purchase my service, you hire me to edit supplied footage and provide a finished edit. All completed edits are considered intellectual property of me (Rachel Shenton). You retain the property rights of all original footage and final copies for distribution or retail.

  • Rachel Shenton Video Editor name and logo are trademarks, and are not permitted to be used in any way which infringes on my rights or the rights of any other individual. The other registered and unregistered trademarks, logos or service marks on this website are the property of their respective owners.

(3) The Materials you supply

The materials you supply refers to any information and files you share with me for the purpose of video editing (including but not limited to raw footage, edited footage, images, audio, bodies of text and project files)

  • Materials must not be illegal or unlawful, or infringe any legal rights of individuals or third parties, and must not be capable of giving rise to any legal action, whether against you, me, any individual or third party.

  • If materials are supplied that contradict the above statement, I reserve the right to pass those materials on to the relevant lawful authorities.

  • The materials supplied must not be libellous, malicious, obscene or indecent, or infringe any copyright, moral right, database right, trade mark right, design right, right in passing off, or other intellectual property right.

  • The materials supplied must not infringe any right of confidence, privacy, or any right under data protection legislation, constitute negligent advice or contain any negligent statement, constitute an incitement to commit a crime, be in contempt of any court, or in breach of any court order, be in breach of racial or religious hatred or discrimination legislation, be in breach of official secrets legislation, be in breach of any contractual obligation owed to any person, depict violence in an explicit, graphic or gratuitous manner, be pornographic or sexually explicit, be untrue, false, inaccurate or misleading, consist of or contain any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage, be offensive, deceptive, threatening, abusive, harassing, menacing, hateful, discriminator, inflammatory; or cause annoyance, inconvenience or needless anxiety to any individual.

  • You warrant that have the legal rights to all materials supplied for editing, and have obtained all necessary consents required by The General Data Protection Regulation (GDPR) (EU) 2016/679.

(4) Responsibility for Materials

Utmost care is taken with all client-furnished materials (including but not limited to raw footage, audio, images, bodies of text and other reference materials), however you are required to maintain all original copies of any supplied material. I accept no responsibility and am not liable for any lost or damaged materials in cases where you have not done so. Where original material is supplied without a copy being held by you, this is done at your own risk.

(5) Use of completed edits for promotional purposes

You agree to the use of the completed videos for the further promotion of my business, including the use in both public and limited access showreels and portfolios, the referencing and sharing of completed videos on my social media pages (Facebook, Instagram, LinkedIn).

  • Only the completed videos that have been made expressly available by you, and that reasonably benefit my business will be shared, I will never share or distribute raw unedited footage, audio, images or reference materials.

  • Only the completed videos that have been previously shared publicly by you, will be shared publicly by me or my affiliated pages (for example; only videos uploaded to social media pages by you and set to publicly viewable by you, will be shared by me on my social media pages), unless express permission is given.

  • All information, including completed and published videos will be subject to the Privacy Policy set out below.

  • You can withdraw your consent to the sharing for promotional use (as set out above) at any time.

 

(6) Payment and prices

Full payment for the editing service I provide must be received from you, as agreed, within 30 days of completion of the project,

  • using a recognised and legal method of transfer (such as PayPal, bank transfer, cash payment with receipt)

  • in a recognised legal currency agreed to by both parties

  • within the time frame agreed to by both parties

  • to the amount agreed on by both parties

Retainer fees of 50% will usually be required before I begin work, in order to secure the booking, unless both parties agree on a different payment schedule. Once these fees have been paid they are non refundable, unless an alternative agreement between both parties is reached, subject to my discretion and EU regulations.

The prices of my editing services will be outlined to you before any transactions are carried out and before any work begins, and I will only begin work if you have expressly agreed to the price I set out.

  • Once these prices have been agreed on and work has begun they will not increase, decrease or otherwise differ from those agreed on at the start of the work, except in circumstances where currency exchange rates have fluctuated, or additional fees (such as additional change fees, fees for additional editing work) have been agreed on during the course of the service.

  • Year on year my prices may change to reflect rises in inflation, business costs, market fluctuation and demand. I reserve the right to vary my prices at my discretion, but without extortion. I do not guarantee the cost of my services to remain the same year on year, for any individual, company or client.

  • Late payment fees may apply if payment is has not been received 30 days after the invoice has been issued. Late payment fees will be charged at the standard rate set out by HM Revenue & Customs.

  • Prices are based on the time taken and difficulty involved in the edit, the planned use of the finished video, and any other requirements set out by you at the start, or during the course of, the service, with regards solely to the work involved. Not influenced by, or discriminating between, any personal, individual, societal, religious or political factors.


(7) Refusal of service

I reserve the right to refuse service to any individuals engaging in, or sharing any materials deemed to be engaging in;

  • Malicious, obscene or indecent, offensive, deceptive, threatening, abusive, harassing, menacing, hateful, discriminatory, inflammatory or harmful language or behaviour; illegal, unlawful, fraudulent or harmful behaviour.

  • Any behaviour that contradicts the terms and conditions set out above in any way.

     

(8) Revisions to the Terms and Conditions and Privacy Policy

These Terms and Conditions and the Privacy Policy may be revised from time to time to keep in line with any new regulations or laws. Revised terms and conditions will apply to the use of this website and my editing services from the date of publication on this website.

(9) Indemnity

By agreeing to these terms and conditions you indemnify me and agree to undertake to keep me indemnified against any losses, damages, costs, liabilities and expenses (including but not limited to legal expenses and any amounts paid to a third party in settlement of a claim or dispute) incurred or suffered by me arising out of any breach by you of these terms and conditions, or arising out of any claim that you have breached these terms and conditions.

(10) Assignment

You agree that I may transfer, sub-contract or otherwise deal with any or all of our rights and/or obligations under these terms and conditions. You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions without obtaining prior written consent from me.

(11) Severability

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

(12) Entire agreement

These terms and conditions, together with the privacy policy, constitute the agreement between I, the editor, and you, the client, in relation to your use of this website, associated social media pages, and any of my editing services provided to you, and supersede all previous agreements in respect of your use of the above.

(13) Law and jurisdiction

These terms and conditions will be governed by and construed in accordance with English law, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of England and Wales.
